By accessing and using MenuTrak ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. In addition, when using these particular services, you shall be subject to any posted guidelines or rules applicable to such services. Any participation in this service will constitute acceptance of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

MenuTrak provides a dietary management and food ordering platform for care facilities. The Service allows for menu creation, patient management, and order processing. You are responsible for obtaining access to the Service and that access may involve third party fees (such as Internet service provider or airtime charges).

3. User Responsibilities

• Confidentiality: You are responsible for maintaining the confidentiality of your password and account and are fully responsible for all activities that occur under your password or account.
• Accuracy: You agree to provide true, accurate, current, and complete information about yourself and your facility as prompted by the Service's registration form.
• Compliance: You agree to comply with all local, state, national, and international laws and regulations applicable to your use of the Service, specifically including HIPAA regulations regarding patient data privacy.
• Prohibited Actions: You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service.

5. Modifications to Service

MenuTrak reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that MenuTrak shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

6. Limitation of Liability

In no event shall MenuTrak, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

7. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
